Agreement

This agreement dated ______________________________, 20_________ is
between Brian Blackwell QI Services, Inc., hereafter referred to as Company, and, __________________________________________ hereafter
to as Client. The parties hereby agree that Company shall provide Client with investigative findings which may include written reports, documents, written or electronically recorded statements, video or photographic materials and related materials. All information, reports, documents, recordings, video, photographic materials and any other material generated by Company are exclusive in nature. The aforementioned is subject to the terms and conditions set forth in this agreement.

Client hereby agrees to pay Company for investigative services at the hourly rate of $ _________ plus expenses. Expenses may include, but not limited to, rental vehicles, mileage, travel expenses, commercial database usage fees, photographs and video. Client further agrees to pay Company a $100 retainer [deposit] before services are rendered. Client's paid retainer will be deducted from the final cost of services rendered. Any unused portion of the retainer will be refunded. Any final payment by the Client shall be due upon receipt of Company invoice. If the unpaid balance is not remitted within thirty (30) days, a finance charge (late fee) of 1.5% per month will be assessed on the unpaid balance.

This agreement shall commence on the date first written above and shall continue until terminated by either party for convenience by giving a five (5) day written notice or upon final remittance by Client. [Note: The hourly rate is based on one (1) investigator. Each additional investigator requested by Client will be at the applicable hourly rate.]

Company warrants to Client that Company is duly licensed, as required by law, to perform Investigative and related services. Company warrants to Client that the services shall be performed with a degree of competence and care that is required, and in conformity with accepted professional standards prevailing in the private investigative industry at the time services are performed. Company further warrants to Client that in performing the services it will comply with all applicable local, state and federal laws, regulations, and rules including, without limitation, those pertaining to the confidentiality of sensitive information. Except as specifically stated within this service agreement, Company disclaims all other warranties, expressed or implied.

All investigative findings furnished to Client are exclusively for Client's own use. Client agrees to restrict the dissemination of said findings to only third parties with a legitimate need to know and / or authorized by law. Client agrees to hold Company harmless from all damages, losses, costs or expenses, including attorney(s) fees and all other legal costs, suffered or incurred in connection with and / or arising out of claims based on investigative findings provided to Client by Company, and for which Client fails to keep strictly confidential. Company will keep all findings strictly confidential and will not disseminate/release any findings to third parties unless authorized by Client, or court ordered. Client agrees to give immediate written notice to Company of any legal proceedings, including, without limitation to, any civil action, administrative hearing, arbitration, in which any portion of the findings furnished to Client by Company are to be of material issue in dispute.

Company is an independent investigative contractor provider and shall not be deemed any employee, agent, partner, or co-venture of Client in any manner. Neither party shall have the authority to make any binding representation and/or agreement on behalf of the other.

This instrument, including any exhibits, contains the entire contract between parties, and any agreement and/or representation respecting the services or the duties of either party in relation thereto not expressed set forth in this instrument is null and void. Any amendment and/or modification of this instrument must be in writing and duly executed by the parties. This agreement shall be governed by and construed in accordance with the laws of the State of Colorado.

Investigative service to be performed under this agreement:
